Terms & Conditions

By registering as a partner, accessing our platform, or integrating with any Code Crafts Digisoft API, you ("Partner", "you", or "your") agree to be bound by these Terms & Conditions ("Terms") and all applicable laws and regulations.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, or if you do not agree with these Terms, you must not access or use our platform.

We reserve the right to modify these Terms at any time. Changes take effect upon posting to this page. Your continued use of the platform after changes are posted constitutes acceptance of the revised Terms.

To use our platform and services, you must meet all of the following criteria:

• Be at least 18 years of age and legally competent to enter into contracts under Indian law.
• Be a registered business entity (proprietorship, partnership, LLP, or private/public company) with a valid GST registration where applicable.
• Hold all necessary licences and regulatory approvals required to operate in the financial services space in your jurisdiction.
• Not be on any government or regulatory blacklist, and not be the subject of any ongoing investigation for financial fraud or misconduct.
• Provide accurate, truthful, and complete KYC documentation during onboarding and update it promptly when changes occur.

We reserve the right to verify your eligibility at any time and to suspend or terminate access if eligibility conditions are not met or cease to be met.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our platform and APIs solely for your internal business purposes as a registered partner.

Your access credentials (API keys, login credentials, OTPs) are personal to your account. You must:

• Keep your credentials strictly confidential and not share them with any third party.
• Immediately notify us at [email protected] if you suspect any unauthorised use.
• Accept full responsibility for all activity occurring under your credentials.
• Not use automated scripts or bots to bypass security controls or rate limits.

We may perform scheduled or unscheduled maintenance that temporarily limits platform availability. We will endeavour to provide prior notice for planned outages wherever possible.

As a registered partner on our platform, you agree to the following obligations:

• Regulatory Compliance: Comply with all applicable laws including but not limited to PMLA 2002, RBI guidelines, NPCI circulars, IT Act 2000, and UIDAI regulations governing Aadhaar-based services.
• Customer Due Diligence: Conduct adequate KYC on your own customers before processing transactions and maintain records as required by law.
• Transaction Reporting: Report suspicious transactions as required under applicable AML/CFT regulations.
• Data Localisation: Ensure all customer data processed through our platform is stored within India in compliance with applicable data protection laws.
• Agent Management: If you appoint sub-agents or retailers, you remain fully responsible for their compliance with these Terms and applicable law.
• Accurate Reporting: Provide accurate transaction counts and volumes as required for regulatory reporting. Any manipulation of data constitutes a material breach.
• Branding: Not misrepresent your relationship with Code Crafts Digisoft or make claims about our services that are false or misleading.

You must not use our platform or services for any of the following:

• Money laundering, terrorist financing, or any activity that violates PMLA 2002 or FEMA.
• Processing transactions on behalf of sanctioned entities or individuals listed on OFAC, UN, or Indian government watchlists.
• Fraudulent transactions, benami transactions, or structuring transactions to avoid reporting thresholds.
• Reverse engineering, decompiling, or attempting to extract source code of our APIs or platform software.
• Reselling or sublicensing API access to third parties without our prior written consent.
• Automated scraping of data from our platform for competitive intelligence or any other purpose.
• Testing our platform with real customer credentials or live payment instruments in a non-production environment.
• Any activity that imposes an unreasonable or disproportionately large load on our infrastructure.
• Circumventing, disabling, or otherwise interfering with security-related features of the platform.

Violation of any prohibited use clause is grounds for immediate termination of your account without notice and may result in legal action. We will cooperate fully with law enforcement in any investigation.

The commission structure, transaction fees, and settlement timelines applicable to your partner tier are set out in your Partner Agreement and the pricing schedule communicated during onboarding.

We reserve the right to revise the fee structure with 15 days' written notice. Continued use of the platform after notice constitutes acceptance of revised fees.

Chargebacks & Reversals: In the event of a failed or reversed transaction, the corresponding commission will be reversed from your wallet. You are responsible for any chargeback amounts arising from fraud by your customers or sub-agents.

All intellectual property rights in and to the platform, APIs, documentation, trademarks, logos, and proprietary technology are and shall remain the exclusive property of Code Crafts Digisoft Pvt. Ltd. or its licensors.

These Terms do not grant you any rights to use our trademarks, trade names, or branding except as expressly authorised in writing. Any permitted co-branding must follow our brand guidelines provided during onboarding.

You agree to treat as confidential all non-public information disclosed by us in connection with these Terms, including but not limited to: API specifications, pricing structures, settlement logic, security architecture, and business strategies ("Confidential Information").

You may disclose Confidential Information only to your employees or contractors who have a need to know it for the purpose of your obligations under these Terms, and only after binding them to confidentiality obligations no less protective than those set out here.

Confidentiality obligations survive termination of these Terms for a period of 3 years.

To the maximum extent permitted by applicable law, Code Crafts Digisoft shall not be liable for:

• Any indirect, incidental, consequential, special, or punitive damages arising from your use or inability to use the platform.
• Loss of profits, revenue, business opportunity, data, or goodwill.
• Interruptions caused by events beyond our reasonable control including natural disasters, strikes, power failures, or acts of government.
• Losses arising from fraudulent use of your credentials by third parties where you failed to maintain adequate security.
• Actions or inactions of third-party banking partners, NPCI, UIDAI, or payment networks.

Our total aggregate liability to you under or in connection with these Terms shall not exceed the total fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.

By You: You may terminate your partnership at any time by providing 30 days' written notice to [email protected]. All pending settlements will be processed within the standard settlement cycle after your termination date.

By Us: We may suspend or terminate your access immediately and without notice if:

• You breach any material term of these Terms or your Partner Agreement.
• We receive a direction from a regulatory body, NPCI, UIDAI, or any bank to do so.
• We detect fraudulent activity, money laundering, or suspicious transaction patterns on your account.
• Your KYC information is found to be false, incomplete, or outdated.
• You become insolvent, enter administration, or are wound up.

Upon termination, your licence to use the platform and APIs ceases immediately. You must delete all local copies of our documentation, API keys, and any cached data. Clauses related to confidentiality, intellectual property, liability, and governing law survive termination.

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Dispute Resolution: In the event of any dispute, the parties shall first attempt to resolve the matter amicably through good-faith negotiation. If the dispute is not resolved within 30 days, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

• The arbitration shall be conducted by a sole arbitrator mutually agreed upon by both parties.
• The seat of arbitration shall be Jaipur, Rajasthan, India.
• The language of proceedings shall be English.
• The arbitrator's award shall be final and binding on both parties.

Nothing in this clause prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction. The courts at Jaipur, Rajasthan shall have exclusive jurisdiction for such proceedings.
